MITTELY · LEGAL
Terms of Service
The rules for using the Mittely marketplace, purchasing digital products and participating as a designer.
1. About these terms
These Terms of Service ("Terms") govern your access to and use of Mittely at mittely.com, including its digital-design marketplace, customer accounts and designer features. Mittely is operated from Ghana under the Mittely name by an independent operator and is not represented here as an incorporated company.
By using the website, creating an account, buying a product or submitting designs, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the service. Separate product-specific licence terms also apply to digital products; see Digital Product Licensing.
2. Accounts and eligibility
You must provide accurate information, keep your sign-in credentials secure and promptly update information that changes. You are responsible for activity carried out through your account, except where caused by our own failure to meet an applicable obligation. Do not share access in a way that circumvents account or licence limits.
You must be legally able to enter into a binding agreement and use the service in compliance with applicable law. Contact support if you believe your account has been accessed without permission.
3. Marketplace purchases
Mittely offers digital products and design resources. Product descriptions, previews, available formats, prices and licence options are shown on the relevant product page and at checkout. Please review them before purchasing. Digital products are supplied electronically; no physical item is shipped unless a listing expressly says otherwise.
After successful payment verification, the order may become available in your account or through a download link. Download links may be time-limited or subject to security checks. Do not share purchase links or files with people who are not covered by your licence.
4. Digital product licences
Your use of a purchased product is governed by the licence displayed for that product at the time of purchase and the details on our Digital Product Licensing page. In general, a licence permits the uses stated in the relevant licence and does not transfer ownership of the underlying intellectual property.
Unless the applicable product licence expressly permits it, you may not resell, redistribute, sublicense, share the source files as a standalone asset, or use them to create a competing asset marketplace. If product-specific terms conflict with these general Terms on permitted use of that product, the product-specific licence controls for that use.
5. Designer applications, submissions and earnings
Designer participation may require an application, review and approval. Submission does not guarantee acceptance, publication, sales or continued listing. You must have the rights and permissions needed to submit each design and must ensure that submissions do not infringe another person's rights or violate law.
Marketplace share: Mittely currently advertises a 70/30 split: the designer receives 70% of the sale amount attributed to the designer's product and Mittely retains 30% as its platform share. The applicable order record and any clearly disclosed promotion, refund, reversal, tax or adjustment determine the amount attributable to a particular sale. We will show or communicate material changes to the split before they apply to future sales.
Eligible earnings are credited to the designer's Mittely wallet or account balance. Withdrawals are subject to account verification, accurate payout details, available balance, payment-provider requirements, fraud checks and any applicable legal restrictions. Payout timing may depend on payment-provider processing and banking networks. We may pause a payout while a transaction, chargeback, refund or suspected fraud is investigated.
You grant Mittely a non-exclusive, worldwide, royalty-free permission to host, reproduce, display, promote and distribute your submitted product listing and files as reasonably necessary to operate, market and fulfil sales through the marketplace. You retain ownership of your original work. This permission continues for existing customer purchases and records after a listing is removed, to the extent needed to honour licences already sold, resolve disputes or meet legal obligations.
You must not upload unlawful, deceptive, malicious, infringing or unauthorized material. You are responsible for the accuracy of your product descriptions, file contents and rights clearances.
6. Payments, cancellations and refunds
Payments are processed by Paystack or another payment provider identified at checkout. Your payment may be subject to the provider's terms, verification processes and fees. An order is not treated as paid until payment is successfully verified by Mittely. Do not send card details or security codes to Mittely support.
Because products are digital, a completed download or access to a digital file may limit the circumstances in which a refund is appropriate. However, this does not remove any rights you may have under applicable law. Contact support@mittely.com promptly if you were charged more than once, did not receive the purchased item, received a materially defective or inaccessible file, or believe a transaction was unauthorized. We will review the order and the circumstances and provide an appropriate remedy where required by law or where justified by the issue.
Refunds, reversals and chargebacks may affect designer earnings associated with the relevant order. We may correct wallet balances to reflect a genuine reversal or refund, and may temporarily hold disputed amounts while a payment dispute is resolved.
7. Intellectual property and platform content
Mittely's website design, branding, software, text and platform materials are protected by applicable intellectual property laws. Except for rights expressly granted in these Terms or a product licence, no rights are transferred to you.
Designers retain ownership of their submitted original work, subject to the marketplace permission described above and the licences granted to customers who purchase it. Customers must respect those licences. If you believe content on Mittely infringes your rights, email support@mittely.com with the page or product link, a description of the rights involved and your contact details.
8. Acceptable use
You must not misuse the service, attempt unauthorized access, interfere with security or availability, reverse engineer or scrape the platform in a manner that violates law or these Terms, upload malware, submit false information, manipulate reviews or sales, infringe intellectual property, or use the platform for fraud or unlawful activity. You must not evade product licensing, download restrictions or account controls.
9. Availability and disclaimers
We work to keep Mittely available and accurate, but the website and digital products are provided on an "as available" basis. We do not guarantee uninterrupted access, error-free operation, compatibility with every device or software environment, or that every product will meet a purpose that was not stated in its listing. Nothing in these Terms excludes a guarantee or right that cannot lawfully be excluded.
Links to third-party services are provided for functionality or convenience. We do not control third-party services and their own terms and privacy policies apply.
10. Limitation of liability
To the maximum extent permitted by applicable law, Mittely will not be liable for indirect, incidental, special or consequential loss, loss of profits, loss of data or business interruption arising from use of the service. Nothing in these Terms limits liability where it would be unlawful to do so, including liability that cannot be excluded under applicable consumer protection law. Where liability may lawfully be limited, it is limited to the amount paid by you to Mittely for the relevant product or service during the three months preceding the event giving rise to the claim.
11. Suspension and termination
We may remove a listing, restrict a feature, suspend or terminate an account where reasonably necessary to protect users, enforce these Terms, investigate fraud or security issues, respond to legal requirements, or address infringement or abuse. Where practical and lawful, we will provide notice and an opportunity to resolve the issue. You may stop using Mittely and request account closure by contacting support. Provisions that by their nature should continue, including licences already granted, payment obligations, intellectual property, disputes and liability limitations, will survive termination.
12. Governing law and changes
These Terms are governed by the laws of Ghana, without excluding any mandatory consumer protection rights that apply to you. Subject to any mandatory dispute-resolution or consumer forum rights, disputes relating to these Terms may be brought before the competent courts of Ghana.
We may update these Terms as the service or legal requirements change. The updated version will be posted here with a revised effective date. Continued use after the effective date means you accept the updated Terms to the extent permitted by law.
